terms of service

neonstudio is a service of Duband Inc., a Nevada S corporation ("we", "us"). These terms are an agreement between you and Duband Inc., and they govern your use of neonstudio's website design, hosting, and related services. By requesting a free redesign or becoming a customer, you agree to them. Please read them. Duband Inc. is located at 8022 S. Rainbow Blvd., Suite 185, Las Vegas, NV 89139, United States.

1. what we do

neonstudio designs, builds, hosts, and maintains websites for local businesses. We will create a free redesign preview of your current site at your request. You are under no obligation to buy after seeing your preview.

2. free preview and your design direction

We show you design work before you pay anything. You tell us the direction you want, we build a full preview of your new site in that direction, and you look at it for as long as you need. The preview is built from your publicly available website content and is provided as-is to help you decide. Nothing is charged while you are deciding. We may use anonymized or branded before-and-after examples of redesigns in our marketing unless you ask us not to.

3. what you pay, and when

• When you decide to go ahead, a single checkout charges two things together: a one-time launch fee and the first month of the monthly plan you pick. Both amounts are shown to you before you pay. The launch fee is set by the size and complexity of the build.
• Your monthly plan then renews automatically on the same date each month, at the same price, until you cancel. Optional add-ons, such as social media management or lead capture, are billed monthly alongside your plan and can be cancelled separately.
• Annual prepayment, where offered, is billed up front and covers twelve months for the price of ten.
• Applicable taxes may be added. Payments are processed by Stripe. We never see or store your full card number.

4. refunds and cancelling

• To cancel, email info@neonstudio.ai. That is the whole process. No phone call, no retention script.
• Cancelling your monthly plan takes effect at the end of the month you have already paid for. We do not refund part of a month.
• The launch fee is fully refundable until we start building the direction you chose. Once the build has started it is not refundable, because you saw and approved the design before you paid and the work is made to order for you.
• If we never deliver a live site and the reason is ours, we refund the launch fee in full.

5. what your launch fee includes, and turnaround

Your build includes five rounds of revisions. A round is one consolidated set of changes from you and our response to it. Work beyond five rounds, or changes that alter the agreed scope, is quoted before we start it.

We aim to have your site live within 48 hours of your approval. That is our typical turnaround, not a guaranteed date. The timeline depends on getting what we need from you: your content and photos, access to your domain registrar, and logins for any ordering, booking or payment platform you want connected. If we cannot reach you for 30 days after payment, we will park the build and hold your launch fee as a credit on your account for twelve months.

6. you own your site and domain

• Once your launch fee is paid, the design, pages, copy and images we produced for your site are yours, and we assign you whatever rights we hold in them.
• Your domain is registered in your name and stays yours. There is no lock-in.
• We keep the underlying tools, templates, code components and processes we use across all of our customers. You are not buying an exclusive right to those, and nothing here stops us using them for other customers.
• Fonts, stock images and third-party plugins are licensed rather than sold. Those licenses come with your site on the same terms we hold them.
• If you cancel, you keep your domain and may request an export of your site content. Hosting, edits, and support end when your subscription ends.

7. costs we pass through

A few things are paid to someone else rather than to us: domain registration and renewal, any paid fonts or stock images you ask for, and the fees charged by your own ordering, booking or payment platform. We tell you before anything is charged and we do not mark these up.

8. referral program

Active customers may receive a unique referral link and QR code. When a business you refer becomes a paying customer, your account is credited $100 and the new customer receives $100 off their launch fee. Credits have no cash value, cannot be transferred, and may not be combined beyond limits we set. We may change or end the program at any time; credits already earned will be honored.

9. edits and feedback

On a subscription, you may request content edits within the allowance of your plan, and we aim to complete them within 48 hours. Every change is reviewed by a person before it goes live. Work beyond your monthly allowance, larger redesigns, and new features are quoted separately before we start.

10. late payment, chargebacks and suspension

If a payment fails we will retry it and email you. After 10 days unpaid we may suspend hosting, and after 30 days we may take the site offline. We keep your content for 90 days after that so you can retrieve it. If you dispute a charge with your bank before talking to us, we may suspend the account until it is resolved. Please email us first. It is faster, and we would rather fix the problem.

11. acceptable use

You agree not to use the service for anything unlawful, infringing, deceptive, or harmful, and to have the rights to any content you provide. We may suspend service for violations or non-payment.

12. disclaimers

The service is provided on a commercially reasonable basis. We do not guarantee specific business results, search rankings, traffic, or revenue. Except as required by law, the service is provided "as is" without warranties of any kind.

13. limitation of liability

To the fullest extent permitted by law, neonstudio's total liability for any claim relating to the service is limited to the amount you paid us in the three months before the claim. We are not liable for indirect, incidental, or consequential damages.

14. governing law

These terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Clark County, Nevada.

15. how this agreement is made

You accept these terms by ticking the box at checkout and completing payment. That tick and the payment record are your electronic signature, and you agree they have the same legal effect as a signature on paper. We keep a record of what you agreed to and when, and we email you a copy of your order.

16. changes

We may update these terms from time to time. Material changes will be posted here with an updated date. Continued use after changes means you accept them.
